letemcookThese Terms of Use ("Terms") govern your access to and use of letemcook, including the website at letemcook.fun and the letemcook smart contracts deployed on the Base network (together, the "Platform," and the contracts, the "Protocol"). By accessing or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
letemcook is a non-custodial interface to a set of permissionless smart contracts that let anyone create and trade tokens on Base. We provide software. We are not a broker, dealer, exchange, custodian, bank, or financial institution, and we do not hold, control, or have access to your funds or private keys at any time. The Protocol runs on a public blockchain and operates independently of this interface.
You must be at least 18 years old, or the age of majority where you live, and legally able to enter these Terms. You may not use the Platform if you are located in or a resident of any jurisdiction where use of the Platform is prohibited, or if you are a person or entity subject to sanctions or named on any restricted-party list. You are solely responsible for complying with the laws that apply to you.
Nothing on the Platform is financial, investment, legal, or tax advice. No token is created, offered, endorsed, recommended, vetted, or guaranteed by letemcook, and no outcome is promised. Tools such as the trust score, risk labels, and launch snapshot are informational signals only, not assurances of safety. Any decision to create, buy, sell, or hold a token is yours alone.
You understand and accept that:
letemcook never takes custody of your assets and cannot freeze, reverse, recover, or refund any transaction or token for you or anyone else. Your keys and your assets are solely your responsibility.
Tokens created on the Platform are not securities, financial instruments, or investment products, and confer no ownership, equity, dividend, governance, or other rights in letemcook, its team, any creator, or any entity. They are experimental digital collectibles with no intrinsic value.
Trades on the Protocol incur a fee as described in the interface (currently a 1% trade fee), applied on-chain in the token's quote currency (ETH). A fixed portion is allocated to the protocol treasury and the remainder is distributed as configured for each launch.
Graduation fee. Separately from the trade fee, when a launch reaches its target and graduates to a decentralised exchange, 3% of the amount raised is allocated to the creator of that launch and 3% to the protocol treasury, before the remainder is used to fund the liquidity pool. The launch's own accumulated floor is added to the pool at the same time. In practice this means roughly 94% of an amount raised becomes pool liquidity. This is fixed in the smart contracts, applies to every launch, and cannot be altered by anyone including us.
These are the only fees the Protocol takes. All fees are on-chain and non-refundable.
What they are. A coin's creator may set aside part of their own supply of that coin as a reward pool. When someone buys that coin, the pool may credit rewards to the buyer and to as many as three people above them in the chain of who introduced whom. Rewards are always paid in that coin's own token, never in ETH, and never by letemcook. We fund no pool, take no share of any pool, and receive nothing when a reward is paid.
How you join a crew. Opening the Service through another person's crew link records, on chain and permanently, that they introduced you. This happens as part of accepting these Terms on your first connection, and requires you to approve a blockchain transaction from your own wallet. It cannot be undone by us or by anyone else.
What it costs you. Being part of a crew does not change the price you pay for any token, and no part of your trade is diverted to anyone. It does affect rewards: where a creator has funded a pool, the shares paid to the people above you are taken from the reward credited to you, not created in addition to it. In plain terms, a buyer with a crew above them keeps a smaller reward than the same buyer with nobody above them. The reward system is optional for creators, so many coins pay no rewards at all.
Eligibility and conditions. Only wallets holding an active conviction lock on a coin can earn from that coin's pool, judged at the moment of each purchase. Rewards are credited rather than transferred, and become claimable only when the coin graduates or, if it never does, after the period fixed in the contracts. Breaking a lock early forfeits any unclaimed rewards on that coin back to the pool. Pools are finite: when a creator's pool is empty, rewards stop, and no one is entitled to any further payment.
No promise of earnings. Nothing about the reward system is a promise, projection, or guarantee of any income. Most coins never graduate. You may earn nothing.
If you promote a coin. If you share a crew link, post about a coin, or otherwise encourage anyone to buy, and you stand to earn from their purchase, you are responsible for disclosing that connection wherever you promote it, and for complying with the law that applies to you. You are acting on your own behalf and not as an agent, employee, partner, or representative of letemcook.
You agree not to use the Platform to: violate any law or regulation; engage in market manipulation, fraud, or deceptive practices; launch or promote content that is infringing, illegal, hateful, harmful, or that impersonates any person or entity; evade sanctions or launder funds; interfere with, exploit, reverse-engineer, or attack the Platform or Protocol; or use bots or automated means to gain an unfair advantage in violation of these Terms. We may restrict, suspend, or block access to the interface at any time, for any reason, without notice.
You are responsible for any name, symbol, image, description, links, or other content you submit when creating a token or using the Platform, and you represent that you have all rights to it and that it infringes no law or third-party right. You grant letemcook a non-exclusive license to display that content in the interface. On-chain data, including a token's name, symbol, supply, and image, is permanent and cannot be changed after launch; off-chain details such as banner, description, and links may be edited only by the creator's wallet.
The letemcook name, logo, brand, and interface, and their look and feel, are owned by letemcook or its licensors and may not be copied or used without permission. The Protocol smart contracts are deployed on a public blockchain and may be viewed by anyone.
The Platform relies on third-party services, including wallets, blockchain networks, decentralized exchanges such as Uniswap, node and data providers, and others. letemcook does not control and is not responsible for those services, their availability, or their conduct, and your use of them is subject to their own terms.
The Platform and Protocol are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any warranty of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, security, or uninterrupted or error-free operation. letemcook does not warrant that the Platform will meet your needs or that any token will have or retain any value.
To the fullest extent permitted by law, letemcook and its contributors, developers, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, tokens, funds, data, or goodwill, arising from or related to your use of the Platform, the Protocol, or any token, whether based in contract, tort, strict liability, or any other theory, even if advised of the possibility. To the maximum extent permitted by law, our total aggregate liability for any claim will not exceed the greater of the fees you paid to the protocol treasury in the thirty days before the claim, or one hundred U.S. dollars ($100).
You agree to indemnify and hold harmless letemcook and its contributors, developers, and affiliates from any claim, demand, loss, liability, or expense, including reasonable legal fees, arising from your use of the Platform, your content, your violation of these Terms, or your violation of any law or third-party right.
You are solely responsible for determining, reporting, and paying any taxes that apply to your use of the Platform and to any transaction you make.
We may update these Terms at any time. Changes are effective when posted, and your continued use of the Platform means you accept them. Please check this page for the current version.
We may modify, suspend, or discontinue the interface, in whole or in part, and may restrict or block your access, at any time and for any reason, without notice or liability. The Protocol itself is permissionless and may continue to operate on-chain independently of the interface.
Read this section carefully. It affects how disputes are resolved and limits your rights.
Informal resolution first. Before starting any proceeding, you agree to contact us and try to resolve the dispute informally for at least 30 days.
Binding arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, the Protocol, or any token, and not resolved informally, will be settled by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, and not in court, except that either party may pursue an individual claim in small-claims court. The arbitrator decides all issues, including the scope, enforceability, and formation of this agreement to arbitrate.
Class action waiver. You and letemcook may bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated, mass, or representative action. The arbitrator may not consolidate more than one person's claims or preside over any class or representative proceeding. If this waiver is held unenforceable as to a claim, that claim is severed and heard in court, and the rest of this section still applies.
Jury trial waiver. To the extent any dispute proceeds in court, you and letemcook each waive any right to a trial by jury.
Governing law and venue. These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules. Any dispute not subject to arbitration will be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction.
letemcook is a neutral, non-custodial interface. It is not a party to, and bears no responsibility for, any transaction, agreement, dispute, or interaction between you and any token creator, other user, or third party. To the fullest extent permitted by law, you release letemcook and its contributors, developers, and affiliates from every claim, demand, damage, and loss, known or unknown, arising out of or connected to the acts, omissions, or content of any token creator, other user, or third-party service, or to any token's performance, legitimacy, or safety. You expressly waive the benefit of any law that would otherwise limit a release to claims you know of at the time of agreeing.
Any claim arising out of or relating to these Terms, the Platform, the Protocol, or any token must be filed within one year after the claim first arose. Otherwise it is permanently barred, to the fullest extent permitted by law.
letemcook owes you no fiduciary, trustee, agency, or advisory duty of any kind. We do not vet, endorse, monitor, or control token creators, tokens, or other users, and we are not responsible for their statements, conduct, solvency, or the outcome of anything they launch. You alone are responsible for evaluating any token and anyone you transact with.
If any part of these Terms is held unenforceable, the rest stays in effect and the unenforceable part is limited to the minimum extent necessary. These Terms are the entire agreement between you and letemcook regarding the Platform and supersede any prior understanding, and you have not relied on any statement not written here. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them freely. letemcook is not liable for any failure or delay caused by events beyond its reasonable control. The sections on assumption of risk, non-custodial status, no warranties, limitation of liability, indemnification, release, arbitration and class action waiver, and time limit on claims survive termination.
